But is their question of asking for Winamp's source code valid? Can they demand (or request) for source code, and would any company provide such code?

The idea behind such request is that since you are shutting down that project, releasing the code in open source would allow third party developers to keep the product alive.
A lot of companies and individuals release their products in open source once they are done with it. Google for example released Google Wave source code in Open Source.
Google Wave Federation Protocol
Now it depends upon AOL if they want to or can release the code. Winamp might be using a lot of borrowed with permission code that might make it a toughie to be released in OSS.
Best would be to create a Winamp clone from scratch using newer technologies. It's not like Winamp had some real amazing audio processing technologies. From what I understand it uses third party solutions for the same.
Shoutcast is the biggest reason why Winamp demise is annoying people. There is no decent alternative to access the same network of audio and video stations.

MP3 and AAC codecs are licensed. Their source code won't be released. But with Winamp going open source, someone can release a new player with these codecs which would be useful. More than its sound engine, people miss it for its Visualisations, AVS plugins and its skinning abilities which though available in modern players as well but were never as good as they were in Winamp(especially version 2). People dumped Winamp once it was iterated to version 5. Milkdrop 2 plugin available in Winamp 5 was made open source this year only. If Winamp goes open source, people will get back the most loved version of Winamp back(2.95) again. Its a nice idea. But given AOL's history they love to mess things up. Can't expect the source code unless Google buys it. MS might just shut Winamp and integrate Shoutcast with their own services.
No other player supports Milkdrop 2 plugin natively apart from Winamp. They support a variation of its first version called projectM which is not as good as Milkdrop itself.

I run Milkdrop 2 from within AIMP3.
